Skyworks Solutions said on Sept. 30, 2026 that it has extended the deadline for its exchange offers to holders of Qorvo’s senior notes due 2029 and 2031, moving the expiration date and withdrawal deadline to 5:00 p.m. New York City time on Oct. 5, 2026.

The offers cover any and all outstanding 4.375% Senior Notes due 2029 and any and all outstanding 3.375% Senior Notes due 2031 issued by Qorvo. In exchange, Skyworks is offering up to $850 million of new 4.375% Senior Notes due 2029 and up to $700 million of new 3.375% Senior Notes due 2031.

For noteholders, the practical point is that tenders already made stay in place. Skyworks said holders who have already validly tendered and not withdrawn their notes do not need to take any further action because their tenders remain effective after the extension.

Skyworks said that, as of 5:00 p.m. New York time on Sept. 30, valid tenders had reached $779.25 million, or 91.68% of the 2029 notes outstanding, and $653.328 million, or 93.33% of the 2031 notes outstanding.

The company said the settlement date is expected to come promptly after the new expiration date and no earlier than the second business day after the closing date of the mergers. Skyworks also said it expects the mergers to close on or about Oct. 5, 2026, subject to satisfaction or waiver of closing conditions.

The exchange offers remain subject to the terms in Skyworks’ prospectus, filed after its Form S-4 registration statement was declared effective on May 29, 2026. Skyworks said each exchange offer depends on the closing of the mergers in which Qorvo will merge with and into a subsidiary of Skyworks, and that the closing of the mergers is not conditioned on the results of the exchange offers.

Skyworks said it may modify or terminate either exchange offer and may extend the expiration date or settlement date for either offer, subject to applicable law. It added that changes to one offer will not automatically change the other, and that the two note series are not contingent on each other.

Skyworks Solutions is based in Irvine, Calif., and says it develops, manufactures and provides analog and mixed-signal semiconductors and solutions for applications including aerospace, automotive, broadband, cellular infrastructure, connected home, defense, entertainment and gaming, industrial, medical, smartphone, tablet and wearables.
