Vor Bio said its Compensation Committee granted stock options to buy 59,250 shares of common stock and restricted stock units, or RSUs, representing 12,550 shares, to nine newly hired employees on October 1, 2026.
The company said the awards were material inducements to employment and were granted under the Vor Biopharma Inc. 2023 Inducement Plan in line with Nasdaq Listing Rule 5635(c)(4).
The stock options carry a ten-year term and an exercise price of $18.06 a share, equal to Vor Bio’s closing share price on the grant date.
Vor Bio said the options will vest over four years, with 25% vesting after 12 months and the rest vesting monthly over the following 36 months, while the RSUs will vest over four years, with 25% vesting after 12 months and the remainder vesting quarterly over the following 36 months. Both awards depend on continued employment on the relevant vesting dates.
For an employee who joins a public company with awards like these, the immediate change is not cash in hand but a scheduled right to acquire or receive shares over time, subject to staying employed and meeting the plan terms.
Vor Bio describes itself as a clinical-stage biotechnology company focused on advancing telitacicept through Phase 3 clinical development and potential commercialization for autoimmune diseases.
