Skyworks Solutions said its exchange offers for two series of Qorvo senior notes have expired, with most of each issue tendered by the deadline on October 5, 2026. The company said the offers closed at 5:00 p.m. New York City time and that settlement is expected on or about October 7.
The offer covered Qorvo’s 4.375% Senior Notes due 2029 and 3.375% Senior Notes due 2031. In return, Skyworks offered up to $850 million of new 4.375% Senior Notes due 2029 for the first series and up to $700 million of new 3.375% Senior Notes due 2031 for the second.
By the expiration date, $779.422 million of the 2029 notes had been validly tendered and not withdrawn, equal to 91.70% of the amount outstanding. For the 2031 notes, $647.096 million had been tendered, equal to 92.44% of the amount outstanding.
Skyworks said any Qorvo notes validly tendered can no longer be withdrawn, and no additional notes may be tendered. It expects to issue $778.096 million of new 2029 Skyworks notes and $646.805 million of new 2031 Skyworks notes on the settlement date.
The exchange offers were made under Skyworks’ Form S-4 registration statement, which was declared effective on May 29, 2026, and the related final prospectus filed with the U.S. Securities and Exchange Commission the same day.
