ImageneBio said on October 2 that its compensation committee approved inducement awards for three newly hired non-executive employees on September 30, 2026. The package included 90,775 restricted stock units, or RSUs, and 32,725 non-qualified stock options, or NSOs, granted under the company’s 2025 Equity Inducement Plan and the related award agreements.

For employees receiving RSUs, the vesting schedule differs slightly. Two of the awards vest in equal annual instalments over four years, while one vesting schedule gives 25% after a year and then the balance in 12 equal quarterly instalments over the following three years, in each case only if the employee continues to serve through each vesting date.

The options were priced at $4.58 per share, matching ImageneBio’s closing share price on September 30, 2026. Those NSOs also vest over four years, with 25% vesting after one year and the remaining 75% vesting in equal monthly instalments over the next 36 months, again subject to continuous service.

ImageneBio describes itself as a clinical-stage biotechnology company focused on therapeutics for immunological, autoimmune and inflammatory diseases. It says its olevaprubart programme has completed Phase 1b/2a clinical trials in atopic dermatitis and alopecia areata and is now in a Phase 2b trial in moderate-to-severe atopic dermatitis.
