GoldInxs Mining Corp. said on October 6, 2026 that it had closed the first tranche of its non-brokered private placement, issuing units for gross proceeds of C$647,316.51. For retail readers, the key point is that the company has taken in fresh financing and attached warrants to both parts of the deal, which can affect the number of shares in circulation if those warrants are later exercised.

The company said it sold 4,315,270 flow-through units at C$0.13 each for gross proceeds of C$560,985.10, and 784,831 regular units at C$0.11 each for gross proceeds of C$86,331.41. Each flow-through unit includes one common share and one warrant, and each regular unit includes one common share and one warrant.

Each warrant lets the holder buy one common share at C$0.25 for up to 24 months after the first tranche closes. GoldInxs said it can accelerate that expiry so the warrants end 30 days after a news release if the common shares trade at C$0.50 or more for 10 consecutive trading days on the TSX Venture Exchange, or another principal exchange if the shares are listed elsewhere at that time.

GoldInxs said it plans to use the proceeds for exploration work and other operations at its Fishpot Project in central British Columbia, along with other flow-through eligible expenses such as exploration, drilling and sampling programs, and for general working capital. The company also said it intends to renounce exploration expenses to subscribers of the flow-through units no later than December 31, 2026.

In connection with the first tranche, GoldInxs said it intends to pay cash finder’s fees of C$28,366.25 and issue 218,201 non-transferable finder’s warrants. It also said an insider bought 385,000 flow-through units, representing C$50,050 of the gross proceeds, and that this purchase is a related party transaction under Multilateral Instrument 61-101, or MI 61-101. The company said it is exempt from formal valuation and minority approval because the fair market value of securities bought by related parties is below 25% of its market capitalization under that rule.

All securities issued in the first tranche, including any finder’s warrants, are subject to a statutory hold period that expires four months and one day after closing. GoldInxs also said it may complete additional tranches of the offering if it receives the required regulatory approvals, including acceptance from the TSX-V.

GoldInxs is a Canadian mineral exploration company focused on a gold and copper project in central British Columbia, and its flagship asset is the Fishpot Property.
