Electra Battery Materials Corporation said its capital markets activity in the quarter ended September 30, 2026 included employee share purchases, director grants and sales under its at-the-market equity program, or ATM.
Under the company’s Employee Share Purchase Program, employees bought 37,341 common shares during the third quarter, and the company acquired a corresponding 37,341 common shares in line with the plan. The program was approved by shareholders at the annual general meeting on June 23, 2026, and purchases were made at the five-day volume-weighted average price as of September 30, 2026.
On September 30, 2026, Electra granted 112,676 deferred share units to its non-employee directors under its Deferred Share Unit Plan. The units were granted based on the market price as of that date and will be settled in common shares when a director ceases to serve on the board, subject to the terms of the plan.
The ATM, which was initiated in late 2025, allows the company to issue and sell up to US$25 million of common shares from treasury at its discretion under an agreement with H.C. Wainwright & Co., LLC. During the quarter ended September 30, 2026, Electra generated gross proceeds of about US$92,000 by issuing 150,003 common shares on the Nasdaq Stock Market at a weighted average price of US$0.6152 per share. The most recent ATM transaction was on August 28, 2026, and since inception the average issuance price under the program has been US$0.87 per share.
Electra said commissions of about US$7,000 were paid in connection with those distributions during the quarter.
