Skyworks Solutions said its exchange offers for Qorvo notes expired at 5:00 p.m. New York City time on 5 October 2026, with most of each series tendered before the deadline. The company said holders validly tendered $779.422 million of Qorvo’s 4.375% Senior Notes due 2029 and $647.096 million of its 3.375% Senior Notes due 2031.

For traders and newer investors, the practical point is that the offers are now closed. Skyworks said any Qorvo notes that were validly tendered can no longer be withdrawn, and no additional Qorvo notes may be tendered.

Skyworks expects to issue $778.096 million of new 4.375% Senior Notes due 2029 and $646.805 million of new 3.375% Senior Notes due 2031 on the settlement date, which it said is expected on or about 7 October 2026.

The exchange offers were made under Skyworks’ Form S-4 registration statement, which the U.S. Securities and Exchange Commission declared effective on 29 May 2026, together with the related final prospectus filed the same day. Skyworks said the offers were made only under that prospectus and only where permitted by law.

Skyworks describes itself as a developer, manufacturer and provider of analog and mixed-signal semiconductors and solutions, and said it is a member of the S&P 500 and trades on Nasdaq under SWKS.
