Bunker Hill Mining Corp. said the shares will be issued in full satisfaction of interest payable as of Sept. 30, 2026 under certain debt instruments, with 28,714 shares tied to US$76,666.67 owed on 5.0% Series 1 secured convertible debentures and 71,785 shares tied to US$191,666.67 owed on 5.0% Series 2 secured convertible debentures.
The company said the shares will be priced at US$2.67, or about C$3.79, each, based on 90% of the 10-day volume weighted average trading price over the pricing period that began on Sept. 15, 2026 and ended on Sept. 28, 2026.
For traders and investors following the name, that means the company is using equity rather than cash to meet this interest obligation, and the issuance will total 100,499 shares once approved.
Bunker Hill said 95,713 of the shares will go to certain managed accounts of Sprott Private Resource Streaming and Royalty Corp., which makes that part of the issue a related party transaction under Multilateral Instrument 61-101, or MI 61-101. The company said it intends to rely on exemptions from the formal valuation and minority shareholder approval requirements because neither the fair market value of those shares nor the consideration received will exceed 25% of its market capitalization.
The company said it did not file a material change report more than 21 days before the election because the pricing period ended only on Sept. 28, 2026. The issuance is still subject to the debt terms and to regulatory approvals, including approval from the exchange, and the shares will be subject to a four-month and one-day hold period once issued.
Bunker Hill said the shares have not been and will not be registered under the U.S. Securities Act of 1933 or any U.S. state securities laws, and they may not be offered or sold in the United States without registration or an available exemption.
