GoldInxs Mining Corp. said on 6 October 2026 that it had closed the first tranche of a previously announced non-brokered private placement, with gross proceeds of C$647,316.51. The company said the tranche included 4,315,270 flow-through units and 784,831 units.

The flow-through units were sold at C$0.13 each for gross proceeds of C$560,985.10, while the units were priced at C$0.11 each for gross proceeds of C$86,331.41. Each flow-through unit consists of one common share and one warrant, and each unit also consists of one common share and one warrant.

Each warrant allows the holder to buy one common share at C$0.25 at any time on or before 24 months after the closing of the first tranche, unless the accelerated expiry provision applies. Under that provision, GoldInxs may, at its sole option, shorten the expiry date to 30 days after it gives notice by news release if the common shares close at or above C$0.50 for 10 consecutive trading days on the TSX Venture Exchange, or another principal exchange if the shares trade elsewhere at that time.

The company said it expects to use the proceeds for exploration work and other operations at its Fishpot Project in central British Columbia, including exploration, drilling and sampling programs, as well as general working capital. It also said it intends for the FT Shares and the warrants underlying the FT Units to qualify as flow-through shares under Canada’s Income Tax Act, and that it plans to renounce qualifying exploration expenses to subscribers with an effective date no later than 31 December 2026.

In connection with the first tranche, GoldInxs said it expects to pay cash finder’s fees of C$28,366.25 and has issued 218,201 non-transferable finder’s warrants to certain eligible persons. It said an insider bought 385,000 FT Units, representing C$50,050 of the gross proceeds, and that this constitutes a related party transaction under Multilateral Instrument 61-101, while the company is exempt from formal valuation and minority approval because the fair market value is below 25% of its market capitalization.

All securities issued under the first tranche, including any finder’s warrants, are subject to a statutory hold period that expires four months and one day after closing. GoldInxs also said it may complete additional tranches, subject to all required regulatory approvals, including acceptance by the TSX Venture Exchange. GoldInxs is a Canadian mineral exploration company listed on the TSX Venture Exchange under INXS and on the OTCQB Venture Market under INXGF.
