Purecore ने C$2.5 million की निजी प्लेसमेंट की योजना बताई

Purecore Metals Inc. ने 2 अक्टूबर 2026 को C$2.5 million तक की non-brokered private placement की योजना बताई। कंपनी के मुताबिक यह offering hard dollar units और flow-through units के मिश्रण के रूप में होगी, और यह नियामकीय तथा कॉर्पोरेट शर्तों के अधीन रहेगी।

Hard dollar units की कीमत C$1.35 प्रति unit रखी गई है। हर HD Unit में एक common share और एक warrant होगा, और यह warrant 36 महीने तक C$2.00 प्रति share के exercise price पर एक warrant share खरीदने का अधिकार देगा।

Flow-through units की कीमत C$1.50 प्रति unit होगी। हर FT Unit में एक common share, जिसे Canadian tax rules के तहत flow-through share माना जाएगा, और एक warrant शामिल होगा, जो 36 महीने तक C$2.00 पर एक अतिरिक्त non-flow-through common share खरीदने का अधिकार देगा।

कंपनी ने कहा कि warrants पर acceleration provision लागू होगी। अगर closing के चार महीने और एक दिन बाद से expiry तक CSE पर common shares का closing price लगातार 10 trading days तक C$2.50 या उससे ऊपर रहता है, तो कंपनी news release के जरिए expiry date पहले कर सकती है; ऐसे में बिना exercise किए warrants notice के 30वें दिन शाम 5:00 बजे Vancouver time पर समाप्त हो जाएंगे।

Purecore ने कहा कि HD Units से मिलने वाली net proceeds का उपयोग mineral exploration activities, property-related expenditures और acquisitions, साथ ही general corporate और working capital जरूरतों, जिनमें marketing और investor relations शामिल हैं, के लिए करने का इरादा है। FT Units से जुड़े common shares की gross proceeds का उपयोग eligible Canadian exploration expenses के लिए होगा, ताकि वे Tax Act के तहत flow-through mining expenditures या flow-through critical mineral mining expenditures के रूप में योग्य हो सकें। कंपनी 31 दिसंबर 2026 तक FT Unit subscribers को qualifying expenditures renounce करने की योजना रखती है, और यह राशि FT Units से जुड़े common shares की gross proceeds से कम नहीं होगी।

Offering के लिए finder's fees दी जा सकती हैं, और जारी होने वाली securities पर उनके issuance date से चार महीने का hold period लागू होगा।
